These Terms of Service ("Terms") govern your purchase of custom and stock products from Canvas Pickleball, a division of Fortyfour Sports, located in Fort Lauderdale, Florida ("Canvas," "we," "us"). By placing an order, requesting a quote, or approving a proof, you agree to these Terms. Because we manufacture custom, made-to-order goods, often in large quantities, these Terms are written to protect both you and us. Please read them carefully.

1. Quotes and pricing

Written quotes are valid for 30 days unless stated otherwise. Pricing depends on construction, quantity, artwork and specifications, and is confirmed on your quote or order. Prices, product descriptions and availability are subject to change before an order is accepted. Volume pricing is based on the quantity actually ordered; reducing quantity may change your per-unit price.

2. Orders and acceptance

An order is not binding until we accept it and you approve your proof. We reserve the right to refuse, limit or cancel any order, including where artwork is unlawful, infringing or inappropriate, where information provided is inaccurate, or where we are unable to fulfill the request. If we cancel an accepted order for our own reasons before production, your payment for that order is refunded in full.

3. Deposits and payment

Standard orders are paid in full at checkout. Large, bulk or corporate orders may require a deposit to begin production, with the balance due before shipment. Deposits are applied to your order and are non-refundable once production begins, as described in our Refund Policy. Orders on approved terms are due per the invoice; overdue balances may accrue interest and suspend production.

4. Artwork, proofs and your responsibility

We provide a digital proof or mockup for your written approval before production. Approving your proof confirms that all spelling, artwork, logos, colors, materials, sizes and quantities are correct. You are responsible for the contents of an approved proof, and we are not liable for errors it contains, including errors in artwork you supplied, low-resolution files, or color differences between a screen and a finished product. For best results, supply high-resolution vector artwork. If we recreate or clean up artwork on your behalf, you are responsible for reviewing and approving the result.

5. Intellectual property and indemnity

By submitting logos, designs, trademarks, images or other materials, you represent and warrant that you own them or are fully authorized to use and reproduce them, and that our production of your order will not infringe any third party's rights. You grant Canvas a limited license to reproduce those materials solely to fulfill your order. You agree to indemnify and hold Canvas and Fortyfour Sports harmless from any claim, demand, cost or damage (including reasonable legal fees) arising from the materials you supply or from your instructions. We reserve the right to decline any artwork we believe may infringe a third party's rights.

6. Portfolio and marketing

We may photograph completed work and display it in our portfolio, website and marketing, and may reference you as a client. If you prefer we not show your project publicly, tell us in writing before production and we will honor that request.

7. Quantity tolerance

Custom manufacturing may yield a variance of up to 2% over or under the ordered quantity. You will be billed for the quantity actually shipped, and a shortage within this tolerance is not a defect.

8. Color, material and product variation

Reasonable variation in color, finish, weight, grain and texture is inherent to custom manufacturing and to natural materials such as wood, and is not a defect. Proofs and screens are a guide, not an exact color match.

9. Changes and cancellations

Changes or cancellations are accepted at no charge before proof approval. After approval, materials are committed and production is scheduled; changes may add cost and time, and cancellations leave you responsible for all work, materials and setup completed to that point, with any deposit non-refundable. 10. Lead times

Production and delivery estimates are made in good faith and are not guarantees. We are not liable for delays caused by late proof approval, late payment, supplied-artwork issues, supply-chain disruptions, carriers or other events outside our reasonable control. See our Shipping Policy.

11. Warranty and remedies

We warrant that products will be free from manufacturing defects and will conform to your approved proof. This warranty does not cover normal wear, misuse, or ordinary variation described above. Your exclusive remedy for a valid defect is reprint, replacement or credit of the affected units, as set out in our Refund Policy.

12. Limitation of liability

To the fullest extent permitted by law, Canvas Pickleball's total liability for any order is limited to the amount you paid for that order. We are not liable for any indirect, incidental, special, consequential or punitive damages, including lost profits, lost sales, or costs of a missed event, even if advised of the possibility. Products are otherwise provided "as is" to the extent permitted by law.

13. Governing law

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law rules. Any dispute will be brought exclusively in the state or federal courts located in Broward County, Florida, and you consent to that jurisdiction.
